Chembio Diagnostics, Inc. Announces Upsizing And Pricing Of Public Offering Of Common Stock
MEDFORD, N.Y., July 29, 2016 (GLOBE NEWSWIRE) -- Chembio Diagnostics, Inc. (Nasdaq:CEMI), a leader in point-of-care (POC) diagnostic tests for infectious diseases ("Chembio" or the "Company"), today announced the upsizing and pricing of its previously announced underwritten public offering of 2,000,000 shares of its common stock at a price to the public of $6.00 per share. In addition, Chembio has granted the underwriters a 30-day option to purchase up to 300,000 additional shares of common stock to cover over-allotments, if any. All shares of common stock to be sold in the offering will be offered by Chembio. The offering is expected to close on or about August 3, 2016, subject to the satisfaction of customary closing conditions.
The total gross proceeds of the offering are expected to be approximately $12 million. After deducting the underwriters' discount and other estimated offering expenses payable by Chembio, the net proceeds are expected to be approximately $10.8 million. These amounts assume no exercise of the underwriters' over-allotment option. The Company expects to use the net proceeds from the offering for business expansion, working capital, and other general corporate purposes.
Craig-Hallum Capital Group LLC is acting as the sole book-running manager, and The Benchmark Company, LLC is acting as the co-manager for the offering.
The shares are being offered pursuant to an effective shelf registration statement on Form S-3 (No. 333-210003) that Chembio previously filed with the Securities and Exchange Commission ("SEC").
